HTML to Wordpress. Design revamp.

Please read carefully:
First step: I need to convert this site to a Wordpress theme.
The Facebook fanpage should be a widget, which I will only use in the home page.
Adsense should be available in every page as a footer widget.
The flash piece at the header is done with PieceMaker ([url removed, login to view]), it's not working well in all browsers though. Needs to be fixed. I'm open to suggestions if you want to use something else. I'll provide the original PSDs.
I need an english and spanish flag image added in the header. I will take care of localization, just needs the flags.
The menu sucks. Would like something nicer like [url removed, login to view]
Place the twitter follow button in a smarter place.
I need a simple contact form, name, website (not required), e-mail, country (if you can do a select box with all countries, better) and comments. Should send a mail to admin, an also send a "thank you for contact" mail to the user.
If you check other sections besides home, you'll see a "Recent sites" column on the right side. Make that a widget for sidebar, just like FB one.
All site should be XHTML-valid. Should work in all browsers.
