Part 1 (weighting 60%): A critical evaluation of the four responsibilities the ICAEW sets out. You should refer to existing UK corporate governance guidance (e.g. UK Code), corporate governance theories (i.e. agency theory and stakeholder theory), relevant academic literature and recent commentary from other interested parties. You should consider the following questions: Do you agree with the responsibilities put forward? Are they realistic? Would this be an improvement on the current situation? Should the responsibilities be integrated into existing corporate governance guidance or are there other means of communicating them? Part 2 (weighting 40%): Illustrate your arguments in part 1 by bringing in two case studies/real life examples: 1. A company which, in your view, upholds (or even exceeds) its responsibilities. You should discuss some examples to support your view. You are also expected to reflect on the corporate governance structures in place and whether these enable the company to fulfil its responsibilities. 2. A company which, in your view, has fallen short of fulfilling its responsibilities. You are expected to illustrate your view with examples. You should also reflect on the corporate governance structures within the company and whether these follow best practice guidance. Your work should be set out as a report (with sub-headings) and include a brief covering letter addressed to ICAEW. Total word count (excluding the covering letter) should be a maximum of 2000. The report should contain references (standard HBS Harvard referencing, please see the guide issued by ASU)
