I need a certified Chinese lawyer who can write me a legal China-centered agreement called non-disclosure, non-use, non-circumvention agreement. The written language is Chinese with its English translation. The agreement must focus on: 1. The Chinese company agrees not to use the information (idea, concept, or product) in competition with me, the disclosing party. 2. It must be written in Chinese, governed by Chinese law, and exclusively enforceable in a Chinese court. 3. Disclosure is specifically prohibited within the group (in case the company I am dealing with has group of other companies). 4. if there is infringement by any member of the group, the factory that made the disclosure will be fully liable. 5. non-circumvention: the factory I am dealing with or any of its group are not allowed to sell my product at all. 6. Chinese law is the governing law, Chinese is the governing language, and exclusive jurisdiction is in a Chinese court with jurisdiction over the defendant. 7. the NNN agreement provides for contract damages in a specific monetary amount for every act of breach. we will discuss this amount later. Dear Sir/Madam, A China NDA should not be simply pulled “off the shelf” because an “off the shelf” U.S. style NDA is just not going to work. I am not going to tell you that NDAs with China need be super complicated, because they don’t. But I am going to tell you that they need to be done right and that means not just pulling something off the shelf. In fact, when we do these sorts of agreements with Chinese companies, we nearly always do them as an NNN (Non Disclosure, Non Use/Non Compete, Non Circumvention) Agreement, not just an NDA We normally require the Chinese manufacturer NOT contact any potential sub-contractors who would work in the production process. Please advise if you believe that this would be a concern in your situation. Note that some Chinese “manufacturers” are not actually manufacturers. They serve only as a “middle man” for the actual manufacturers. If you use that kind of company, they will need to be able to discuss your product with their subcontractors and we will need to allow for this. A lot of actions are what we seek to prevent through the NNN agreement. The danger with Chinese manufacturers is that they will use the idea you provide them for their own production and that they will then attempt to sell that product to your own customers. These actions are what we seek to prevent through the NNN agreement. You provided 7 of points are not engouh to make this agreement.
